About the Role

We are seeking a dynamic and detail-oriented Company Secretary to manage corporate governance, statutory compliance, secretarial functions, and regulatory matters for the organization and its clients. The role requires strong knowledge of the Companies Act, FEMA regulations, corporate laws, and governance practices, along with the ability to support multiple client engagements in a professional services environment.

Key Responsibilities

Corporate Secretarial Compliance

  • Ensure compliance with the Companies Act, 2013, and other applicable corporate laws.
  • Prepare and file statutory forms, returns, and disclosures with the Registrar of Companies (ROC), MCA, and other regulatory authorities.
  • Maintain statutory registers, records, and corporate documentation.
  • Manage company incorporations, alterations, strike-offs, and other corporate actions.

Board & Shareholder Matters

  • Organize and coordinate Board Meetings, Committee Meetings, and Shareholders’ Meetings.
  • Draft agendas, notices, resolutions, minutes, and related documentation.
  • Assist management and directors on governance and compliance matters.
  • Support implementation of corporate governance best practices.

FEMA & Regulatory Compliance

  • Support FEMA-related compliances, including foreign investment reporting, FCGPR, FCTRS, ECB, ODI, and related filings.
  • Coordinate with legal advisors, consultants, and regulatory authorities on compliance matters.
  • Monitor changes in regulatory requirements and assess their impact on the business and clients.

Client Advisory & Compliance Support

  • Manage secretarial compliance assignments for domestic and international clients.
  • Provide guidance on corporate restructuring, share allotments, transfer of shares, and capital restructuring.
  • Assist clients with due diligence, compliance reviews, and governance frameworks.
  • Support business setup, subsidiary incorporation, and regulatory registrations.

Contract & Legal Support

  • Review and maintain corporate agreements, resolutions, and legal documentation.
  • Coordinate with external legal counsel on corporate legal matters.
  • Assist in drafting and reviewing standard corporate and commercial agreements.

Compliance Monitoring & Reporting

  • Develop and maintain compliance calendars.
  • Track statutory deadlines and ensure timely completion of filings.
  • Prepare compliance status reports for management and clients.
  • Support internal audits and compliance reviews.

Desired Skills & Competencies

  • Strong knowledge of Companies Act, 2013 and Secretarial Standards.
  • Working knowledge of FEMA, RBI regulations, and corporate governance practices.
  • Familiarity with MCA portal filings and statutory compliance requirements.
  • Excellent drafting, documentation, and communication skills.
  • Strong stakeholder management and client interaction skills.
  • Ability to manage multiple assignments and work within deadlines.
  • Proficiency in MS Office and compliance management tools.

Preferred Experience

  • Experience in a consulting, outsourcing, CA/CS firm, legal firm, or corporate secretarial function.
  • Exposure to foreign investment transactions, FEMA compliance, and cross-border structures.
  • Experience supporting multiple clients across diverse industries.
